Legal & Accounting Notice: This document functions dual-purpose as a Physical Delivery Invoice for inventory intake records and a Legally Binding Sales Agreement. Accepting physical custody of the shipment via carrier tracking constitutes agreement to the Net-30 term, inventory audit, and payment/return provisions set forth below.

1. Commencement of 30-Day Term

The thirty (30) calendar day payment and sales term ("Term") shall officially commence on the exact calendar day that the shipment carrier's official tracking system confirms physical receipt of the Goods by the Buyer or Buyer's designated agent at the delivery destination.

The date of delivery recorded in the carrier's tracking ledger shall serve as conclusive legal proof of the start of the 30-day period.

2. Payment Obligations for Sold Inventory

Buyer is granted the privilege to sell the delivered Goods during the 30-day Term. Buyer shall owe and pay Humpin Hippies ("Seller") the stipulated wholesale unit price for every unit sold, distributed, transferred, or otherwise unreturned at the conclusion of the Term.

Payment Due Date: Remittance for all Goods sold during the 30-day Term shall be due in full immediately following the final inventory count, and no later than five (5) business days following the conclusion of the 30-day Term.

3. Mandatory Final Inventory Reconciliation

Exactly thirty (30) calendar days after the confirmed receipt date, a formal final inventory count shall be conducted to account for all delivered stock. The inventory count may be conducted jointly by representatives of both Buyer and Seller, or via a certified written physical or electronic count submitted by Buyer and subject to physical audit and verification by Seller.

4. Return of Unsold Inventory & Voiding of Invoice Balance

All Goods remaining unsold at the end of the 30-day Term that are in pristine, original, undamaged, unopened, and resalable condition may be returned to Humpin Hippies at no cost or penalty to the Buyer.

Upon Seller's physical receipt and verification of the returned unsold Goods, the outstanding invoice balance attributable to those returned undamaged items shall be permanently voided and cancelled.

5. Damaged, Altered, or Unreusable Merchandise

Buyer assumes full risk of loss and responsibility for the physical care and custody of all inventory upon delivery. Any units, outer boxes, inner packaging, display containers, jars, or individual packets that are damaged, opened, altered, missing, broken, stickered, tainted, or otherwise rendered unreusable or unmarketable while in Buyer's care must be paid for in full at the agreed wholesale unit price, regardless of whether the item was sold to an end consumer.

6. Failure to Comply, Default & Legal Consequences

Buyer expressly acknowledges that compliance with the inspection, payment, inventory reporting, and return timelines set forth herein is mandatory. Buyer shall be held fully liable for any and all legal and financial consequences resulting from failure to fulfill any provision of this agreement.

Events of Default: Default occurs if Buyer fails to: (a) conduct or permit the 30-day inventory audit; (b) pay for sold or damaged inventory when due; or (c) return unsold inventory within seven (7) days following the 30-day Term.

Remedies & Costs: In the event of default or non-compliance, Seller reserves the right to declare the entire initial invoice balance immediately due and payable. Buyer shall be responsible for all enforcement costs, including collection agency fees, court costs, legal expenses, and reasonable attorneys' fees.

7. Governing Law & Acknowledgment

This agreement shall be governed by and construed in accordance with applicable commercial and contract law. By receiving and retaining the items enumerated herein, Buyer accepts these formal legal terms in full.
